The concept behind International Legal Association (ILA) dates back to 2005, which was when the current draft Articles of Association were written, as were the draft Terms and Conditions for Network Membership and the draft Terms and Conditions for Network Programs.
While fairly well-developed conceptually, a number of obstacles remain before ILA can go from being a "paper concept" to an actual association capable of accepting members, delivering services, and otherwise taking on legal rights and obligations. Here are some of the issues that first must be resolved:
- The founding members (at least two persons) must be selected;
- A founding general meeting must be held;
- The founders must sign the Articles of Association;
- A chairman and treasurer must be selected. Under the current draft Articles of Association, these are presumed to be the two founders, but this will likely be changed in the event that law firms become founding members;
- The draft Articles of Association presuppose that the "Advocate-General" will become the Chairman, but this will require a person to be appointed Advocate-General. Currently, this is not an actual title;
- The organization must apply for and receive tax exempt status by the US authorities, as the draft Articles of Association explicitly presuppose tax exempt status. As an alternative, the draft Articles of Association could be revised from non-profit to for-profit status;
- A trademark search must be conducted to ascertain whether there is a possible conflict between the proposed name "International Legal Association" and International Law Association (http://www.ila-hq.org). Most likely, we will have to find a new, more distinct name prior to registration or commencement of any activity;
- The copyright-holder for the concept behind International Legal Association, including but not limited to the above-mentioned draft documents, must give his prior written consent.
